1. Important concepts in these terms

Below are some concepts to assist in understanding these Terms.

• Field Agent: An individual, an employee of the Company, which is managed through the Platform’s integrated mobile application.
• Demands: Distributed services (Service Orders – OSs) and monitored by the Platform for Field Agents.
• Company: Legal entity that hires the Digiteam Platform for the management of its external teams.
• Login: It is the process to access the Platform through the authentication or identification of the User, using previously registered credentials, which are personal and non-transferable.
• Platform, Type or Digital Platform: Software as a Service Platform that is licensed, by contract, for use by the Company.
• Software as a Service (SaaS): Modality of distribution and commercialization of software.
• Users: Those who represent the Company, referred to as ‘Administrators’ of the Platform.

2. What does the Digiteam platform offer?

Digiteam is a Platform that provides companies from the most diverse segments and activities, with a special focus on the Utilities sector, with a complete management system for their external teams, with highly customizable solutions. It is important to note that the Digiteam Platform is a Software as a Service (SaaS), under the terms and conditions of the contract signed between the parties. With the Platform, the Company will have several tools to manage its employees, Field Agents, being able to create and monitor Demands. The Digiteam Platform will develop exclusive customization processes for your Company, meeting the reality and needs of your business, using the most modern technologies available in the market, including, but not limited to:

• Ease of managing and viewing performance reports anytime and anywhere.
• Define processes by types of services, in a standardized way, through a tool with customizable execution flows and checklists that speed up data collection in the field and minimize errors.
• Agile and efficient services, allocating the right resources to a greater number of services with the same available resources.
• Increased customer satisfaction, offering transparency in the process from the request to the evaluation of the service.

2.1. Menus do Digiteam

On the left side of the Platform, Users will be able to access several menus for using the features, which are:

• General Menu: Access to the management features of Field Agents and Demands.
• Maps: Registration of new areas and regions where the Demands are carried out, as well as the categorization of these regions. In addition, Users will be able to create and categorize areas of interest for the realization of the Demands.
• Actions: Demand management panel, where the User can view in a list all open and/or ongoing Demands. In addition, you will have the visualization of all forms related to registered vehicles, such as infractions and occurrences.
• System: Panel with access to the units and regions where the Demands are carried out, as well as a list of Field Agents and their respective information.

3. How to use the digiteam platform?

The Company may schedule a demonstration of the Platform, through the link https://digiteam.cloud/, providing the name and email of the requester. The demonstration is a way of presenting the operation of the Platform for a better understanding of the use, as well as facilitating the use in professional activities. In order to acquire the right to use the licensing of the Digiteam Platform, the Company must enter into a contract for the provision of specific services, in which all the necessary information for implementation and access to the services will be made available. After contracting, the registration data of the Administrator User, representative of the Company, will serve as the basis for the generation of an identification account, from which they will have access to the Platform and its functionalities. The User must define their own login and password to access the Platform, and it is their sole responsibility to maintain the confidentiality of this information. Digiteam is not responsible for the actions and damages that may be caused by irregular access to the access account by third parties. The registration of other types of users, such as ‘Field Agents’, ‘Dispatchers’, ‘Auditors’, among others, will be carried out and will have access granted by the Administrator User, being, therefore, their sole responsibility.

3.1. Como cadastrar outros usuários?

The Company, through the Administrator User, may create other types of users, classifying different types of access and functionalities, such as:

• Dispatcher: employee of the Company who uses Digiteam in the web modality to allocate and distribute the Demands to the Field Agents.
• Field Agents: Company employee who will carry out the Demands distributed and monitored by the Platform through a mobile application.

3.2. Como cadastrar uma nova Demanda?

For Users to create new Demands to be allocated to Field Agents, the “New Order” button is used, which will open a panel requesting the following Demand information:

• Order type
• Priority
• Name of Applicant
• Applicant’s Phone Number
• Start date
• Estimated duration
• Unit
• Region
• Description

The “Order Type” and “Unit” fields will have selectable options customized by the Company, according to the needs of each Demand and the regions of service of the Field Agents. Users also have the option of registering and receiving Service Orders through integration with their service or service management platform, a procedure that may be defined in accordance with the Company’s contract.

4. Conditions for registration and use of the platform

To register and use the features of the Platform, the User must accept, agree, and undertake to respect these Terms and Conditions of Use, as well as the applicable laws. The following are mandatory requirements for the use of the Platform that the User be, cumulatively:

1. individual,
2. representative of the Company who will serve as Platform Administrator, and
3. is 18 (eighteen) years of age or older or is emancipated, according to the applicable legislation.

The User must provide true, accurate, current and complete information. The User agrees that it is their sole responsibility to keep their registration data up to date, as well as to ensure the protection and privacy of their access password. In addition, it is important to note that only 01 (one) account per User is allowed on the Platform. Digiteam reserves the right to refuse registration, or cancel accounts that it deems inappropriate, as well as to refuse to provide any services that do not correspond to its rules, without the need for prior notification to the User.

5. Obligations of Digiteam

Digiteam will provide its services in accordance with the conditions described in these Terms, keeping the User informed of any changes by updating this document. Digiteam’s obligations are limited to ensuring the functionalities and security of the Platform, as well as making any corrections and/or changes that may be necessary. Digiteam will not have any responsibility for the following situations:

• Users’ Conduct, whether on or off the Platform.
• For the User’s failure to comply with their obligations, in violation of these Terms and applicable laws.
• Damages that the User may have as a result of the misuse of the Platform, such as irregular access by third parties to their access account.
• Damages that the User may experience by the exclusive actions of third parties, as well as network connection failures and malicious interactions such as viruses.
• Cases of God or force majeure.
• For any technical or operational failures that impair or make unfeasible the use of the Platform for a certain period of time, since such failures may occur and are expected by the use of technology.

The User is solely responsible for the data and information entered in their account, therefore, it is not Digiteam’s obligation to verify or attest to the veracity or inadequacy of the data provided.

5.1. Limitação da Responsabilidade do Digiteam

The User acknowledges that the services may be made available in different formats, according to the Company’s customization, which is solely responsible for determining the form of service provision, terms, values, guarantees, etc., without any interference or interference from Digiteam. Digiteam only grants the license to use the Platform, which is a tool for managing employees in the provision of services, and is not responsible for errors and/or inconsistency in the provision of information in the registration of Users, Demands or other records necessary for the use of the Platform. Digiteam, under no circumstances, is responsible for:

• For the services provided by the Company to its clients, which are not specific and exclusive to the functionalities of the Platform.
• For any other services, activities and/or Demands distributed by the Company, which are not within the scope of the licensing of use of the Platform.
• By hiring third parties, service providers, employees of the Company.
• By registering, validating and/or verifying user data that will be registered by the Company’s Administrator User.
• For any action considered to be the responsibility of Users when carrying out their professional activities or using the Platform.
• For the availability and accessibility of the places and regions necessary for the realization of the Demands.
• For any damage, loss or loss suffered by third parties due to failures in the system or in the Demands made.

The User agrees that the impossibility of using the Platform does not imply the impossibility of carrying out the Demands necessary for its provision of services, which is why the inability to use the Platform is at the User’s own risk and the services will be provided “as is”.

6. User obligations

It is the User’s obligation to use the Platform in accordance with the conditions described in these Terms, the applicable laws and, if any, contracts signed between the parties. The User must always use the Platform honestly and ethically, as well as refrain from any type of abusive, illegal or offensive conduct. It is the sole responsibility of the User for all purposes, including legal purposes, for the content of the information they enter and the commitments they make on the Platform.

7. Prohibited Conduct

The User represents and agrees not to:

• Practice any type of unlawful, immoral act that eventually violates current Brazilian or international legislation.
• Violate the rights of a third party or the rights of the Platform.
• Provide or allow access to illegal, violent, pornographic content or any other act contrary to the law and public order.
• Any type of attempted fraud or manipulation, whether of the Platform or of other Users.
• Induce or practice any act of discrimination or incite hatred against people and/or groups of people on the basis of nationality, race, religion, sexual orientation, gender, physical condition, nationality, among other acts that contravene public order and current Brazilian legislation.
• Use automated scripts to collect information or interact with the platform environment or with any electronic means, such as websites, owned by the Platform.
• Violate the intellectual property rights of the Platform or a third party.
• Use the Platform for any purpose other than the provisions of these Terms and Conditions of use.

Digiteam may, at its sole discretion and after notifying the Company, suspend or exclude the User’s access to the Platform whenever prohibited conduct is detected, without the need for prior notice or the right to any type of compensation.

8. Intellectual property

The ownership and rights related to the Platform, as well as any and all content made available by it, belong exclusively to DIGITEAM TECNOLOGIA LTDA (DIGITEAM). The Company does not acquire, through these Terms and Conditions of Use, any intellectual property rights or other exclusive rights, including patents, designs, trademarks, copyrights or rights in confidential information or trade secrets, on or related to the Platform, which are the exclusive property of DIGITEAM.

8.1. Licenciamento de Software

For the provision of the services, it is necessary to license the software developed by DIGITEAM for use by the Company. DIGITEAM remains the owner of all intellectual property or copyright developed by it within the scope of the Platform, since it only grants the rights to use the software produced, in a revocable and retractable manner for its business purposes. The licensing does not cover the source code of the project, which will remain the intellectual property of DIGITEAM. DIGITEAM shall not be liable for the improper or inappropriate use of the software and/or any products and/or items offered by the Company, as well as for any loss or damage suffered by the Company or any third party as a result of such improper or inappropriate use.

9. Account Closure

The closure of the Company’s account on the Platform may depend on the contract entered into between the parties. 10. Privacy Notice

All information on the collection, use, processing and disclosure of information and personal data of Users processed by Digiteam is made available through a Privacy Notice, in accordance with the General Law for the Protection of Personal Data (LGPD). The Privacy Notice is an integral part of these Terms and Conditions of Use. Therefore, we ask you to read and understand the Platform Privacy Notice.

11. General provisions

Digiteam informs that it may, at any time, unilaterally, modify/update these Terms and Conditions of Use. If this happens, the User will be notified and the updated version will be valid from its publication. The continuity of access or use of the Platform, after the disclosure, will confirm the validity of the new Terms and Conditions of Use by Users. Any clause or condition of these Terms and Conditions of Use that may be considered null or ineffective by a court, law or court, shall not affect the validity of the remaining clauses and conditions. Digiteam may unilaterally make modifications to the Platform, including but not limited to its configuration, presentation, design, content, functionalities, tools, including its deactivation. These Terms are governed by and construed in accordance with the laws of the Federative Republic of Brazil. The court of the district of Brasília/DF is elected to settle any conflicts that these Terms and Conditions of Use may raise, and the parties waive any other forum, however privileged it may be or may seem.
