The purpose of these Terms and Conditions of Use is to define the conditions of use that will govern the use of Digiteam, owned by the company DIGITEAM TECNOLOGIA LTDA, a private legal entity duly registered with the CNPJ/MF under number 07.821.585/0001-50, located at Setor Bancário Sul Quadra 02 Bloco E, number 12, Complemento Salas 402 to 406, Asa Sul, Brasília – DF, Zip Code: 70.070-120.

The use of the Platform by the User is governed by these Terms and Conditions of Use, and we recommend that you read them in full, as acceptance of the Terms is mandatory for registration and use of the Platform.

1. Important Concepts of These Conditions

Below you will find some concepts to help you understand these Terms..

Field Agent: A natural person, employee of the Company, managed through the Platform’s integrated application.

Judicial Actions: Services distributed (Service Orders – OS) and supervised by the Platform for Field Agents.

Company: A legal entity that hires the Digiteam Platform to manage its external teams.

Login: The process of accessing the Platform through authentication or identification of the User using previously registered, personal, and non-transferable credentials.

Platform, Digiteam, or Digiteam Platform: A software as a service platform licensed by contract for use by the Company.

Software as a Service (SaaS): A method of distributing and marketing software.

Users: Those who represent the Company, known as ‘Administrators’ of the Platform.

2. What Does the Digiteam Platform Offer?

Digiteam is a platform that provides companies from various segments and activities, with special attention to the Utilities sector, a complete management system for their external teams, with highly customizable solutions.

It is important to highlight that the Digiteam Platform is Software as a Service (SaaS), under the terms and conditions of the contract entered into by the parties.

With the Platform, the company will have various tools to manage its employees, Field Agents, being able to create and track Requests.

The Digiteam Platform will develop exclusive customization processes for your Company, considering the reality and needs of your business, using the most modern technologies available in the market, including, among others:

• Easy management and viewing of performance reports anytime and anywhere.
• Definition of processes by type of service, in a standardized manner, using tools with customizable execution flows and checklists that streamline data collection in the field and minimize errors.
• Agile and efficient services, assigning adequate resources to a larger number of services with the same available resources.
• Greater customer satisfaction, offering transparency in the process from the request to the evaluation of the service.

2.1. Digiteam Menus

On the left side of the Platform, Users can access various menus to utilize functionalities:

• General Menu: Access to Field Agent and Demand Management functionalities.
• Maps: Registration of new zones and regions for Claims, as well as their categorization. Users can also create and categorize areas of interest to make claims.
• Actions: Claims Management Panel, where Users can view a list of all open and/or ongoing claims. We can also view all forms related to registered vehicles, such as registrations and records.
• System: Panel with access to the units and regions where Requests are being processed, including a list of Field Agents and their respective information.

3. How to Use the Digiteam Platform?

The Company can schedule a demonstration of the Platform through the link digiteam.com.br, providing the name and email of the requester.

A demonstration is a way to present the operation of the Platform so that you better understand how to use it and facilitate its use in your professional activities.

To acquire the right to use and license the Digiteam Platform, you must enter into a specific service agreement, at which point all necessary information regarding the implementation and access to the services will be provided.

After the contract is signed, the registration data of the Administrator User, in the name of the Company, will serve as the basis for generating an identifying account, from which you will have access to the Platform and its functionalities.

The User must define their own username and access information for the Platform, being solely responsible for maintaining the confidentiality of such information. Digiteam is not responsible for any accidents or damages that may result from irregular access by third parties.

The registration of other types of users, such as ‘Field Agents,’ ‘Dispatchers,’ ‘Auditors,’ among others, will be carried out, and access granted by the User Administrator, therefore, it is their sole responsibility.

3.1. How to Register Other Users?

The Company, through the Administrator User, can create other types of users, classifying different access types and functionalities, such as:

• Dispatcher: Employee of the Company who uses Digiteam in web mode to assign and distribute Requests to Field Agents.
• Field Agents: Company collaborators who will perform the Requests distributed and monitored by the Platform through a mobile application.

3.2. How to Register a New Claim?

For Users to create new Requests to be assigned to Field Agents, use the “New Request” button, which will open a panel requesting the following information about the Request:

• Type of request
• Priority
• Candidate’s name
• Applicant’s phone number
• Start date
• Estimated duration
• Unit
• Region
• Description

The fields “Type of Request” and “Unit” will have selectable options customized by the Company, according to the need of each Request and the regions served by the Field Agents.

The User also has the option to register and receive Service Orders through integration with their service or service management platform, a procedure that can be defined according to the Company’s contract.

4. General Conditions for Registration and Use of the Platform

To register and use the functionalities of the Platform, the User must accept, agree, and commit to comply with these Terms and Conditions of Use, as well as the applicable legislation.

It is a mandatory requirement for the use of the Platform that the User is cumulatively: (i) a natural person, (ii) a representative of the Company who will serve as the Administrator of the Platform, and (iii) at least 18 (eighteen) years of age or emancipated, under the terms of the applicable legislation.

The User must provide true, accurate, current, and complete information.

The User agrees that it is their sole responsibility to keep their registration data updated and to ensure the protection and privacy of their access password.

Additionally, it is important to emphasize that only one (1) account per User is allowed on the Platform.

Digiteam reserves the right to refuse registration or cancel accounts it deems inappropriate, as well as to refuse the provision of any service that does not meet its standards, without prior notice to the User.

5. Obligations of Digiteam

User acknowledges that the services may be available in various formats, according to the Company’s customization, which is solely responsible for determining the manner of service provision, deadlines, values, guarantees, etc., without any interference from Digiteam.

Digiteam only grants the license to use the Platform, which is a management tool for employees in providing services, not being responsible for errors and/or inconsistencies in providing information in the registration of Users, Requests, or other records necessary for the use of the Platform.

Digiteam is not responsible in any case for:

• The conduct of Users, whether within or outside the Platform.

• Non-compliance by the User with their obligations, violating these Conditions and applicable legislation.

• Damages that the User may suffer as a result of improper use of the Platform, such as irregular access by third parties to their access account.

• Damages that the User may suffer due to exclusive actions of third parties, as well as network connection failures and malicious interactions such as viruses.

• Fortuitous events or force majeure.

• Any technical or operational failure that hinders or makes the use of the Platform unfeasible for a certain period, as such failures may occur and are expected due to the use of technology.
  

The User is solely responsible for the data and information entered into their account, so it is not the obligation of Digiteam to verify or certify the veracity or sufficiency of the data provided.

5. 1. Limitation of Liability of Digiteam

The User acknowledges that the services may be available in various formats, according to the Company’s customization, which is solely responsible for determining the manner of service provision, deadlines, values, guarantees, etc., without any interference from Digiteam.

Digiteam only grants the license to use the Platform, which is a management tool for employees in providing services, not being responsible for errors and/or inconsistencies in providing information in the registration of Users, Requests, or other records necessary for the use of the Platform.

Digiteam is not responsible in any case for:

• The services provided by the Company to its clients, which are not under its control.
• Damages of any nature that may result from the improper use of the services provided by the Company.

6. Limitation of Liability of Digiteam

The User agrees to the following obligations:

To assume responsibility for the use of their account and for the data and information they provide.

• To comply with all provisions set forth in these Terms and Conditions of Use.
• To provide true, accurate, and updated information regarding the registration, as well as any other data requested by Digiteam.
• To inform Digiteam immediately in case of unauthorized use of their access credentials.
• To notify Digiteam about any irregularities or errors that they notice in the functioning of the Platform.

7. Prohibited Behavior

The User declares and commits not to:

• Engage in any unlawful and immoral acts that may violate current Brazilian or international legislation.
• Violate the rights of third parties or the rights of the Platform.
• Provide or allow access to illegal, violent, pornographic content, or any other acts contrary to the law and public order.
• Attempt to defraud or manipulate the Platform or other Users.
• Induce or commit any act of discrimination or incitement to hatred against individuals and/or groups based on nationality, race, religion, sexual orientation, gender, physical condition, nationality, or any other acts that contravene public order and Brazilian legislation.
• Use automated scripts to collect information or interact with the Platform environment or any electronic means, such as websites owned by the Platform.
• Violate the intellectual property rights of the Platform or third parties.
• Use the Platform for any purpose other than that established in these Terms and Conditions of Use.

Digiteam may, at its sole discretion and upon prior notice to the Company, suspend or revoke the User’s access to the Platform whenever prohibited conduct is detected, without the need for prior notice or the right to any form of compensatio

8. Intellectual Property

The ownership and rights related to the Platform, as well as each and every piece of content made available through it, belong exclusively to the company DIGITEAM TECNOLOGIA LTDA (DIGITEAM).

The Company does not acquire, through these Terms and Conditions of Use, any intellectual property rights or other exclusive rights, including patents, designs, trademarks, copyrights, or rights to confidential information or trade secrets, in or related to the Platform, which remain the exclusive property of DIGITEAM

8. 1. Software License

To provide the services, it is necessary to license the software developed by DIGITEAM for use by the Company.

DIGITEAM retains ownership of all intellectual property or copyright rights developed within the scope of the Platform, as it only grants the rights to use the produced software in a revocable and retractable manner for its commercial purposes.

The license does not cover the source code of the project, which will remain the intellectual property of DIGITEAM.

DIGITEAM will not be responsible for any misuse or improper use of the software and/or any products and/or items offered by the Company, nor for any loss or damage suffered by the Company or any third party as a result of such misuse or improper use.

9. Account Termination

The termination of the Company’s account on the Platform may depend on the contract signed between the parties.

Only the Company may request the termination of any User account under its responsibility.
